Overview

The Policy on Organizational Integrity of The Alvan Ikoku Corporation, a division of The Alvan Ikoku Group LLC (the ā€œOrganizational Integrity Policyā€) is a primary means by which The Ikoku Corporation holds and maintains its integrity as essential to itsĀ founding, formation, mission, and purposes, to its administration, governance, management, and operation, to its personnel, properties, and rights, as well as to their protections.

Therefore, persons engaged in any activity involving, referring to, relating to, or otherwise pertaining to The Ikoku Corporation are expected to uphold the principles delineated below.

I — Your Integrity Agreements

— first, with respect to the Agreement you enter into with The Ikoku Corporation via the Organizational Integrity Policy, the Codes and Polices, and The Ikoku Corporation User Agreement and Code of Conduct, you understand and adhere to the following:

i. Your Agreement
that you understand the Codes and Policies, including the Organizational Integrity Policy, to be an integral part of The Ikoku Corporation User Agreement and Code of Conduct you enter into with The Ikoku Corporation.
ii. Your Consent
that your consent to The Ikoku Corporation User Agreement and Code of Conduct includes your legally equivalent consent to the Codes and Polices and to the Organizational Integrity Policy.
iii. Your Adherence
that you have read, understood, consented to, and agreed to be legally bound by and abide by the Organizational Integrity Policy and the Codes and Policies, in their entirety without modification, including as they are amended from time to time by The Ikoku Corporation.
iv. Your Duty
that you have read, understood, consented to, and accepted your attendant duty to the Organizational Integrity Policy as well as to the Codes and Policies — which is limited to specifically include your legally binding agreement to refrain from and report any breach, diminishment, disruption, impediment, interference, or other violation pertaining to these Policies; as well as any diminishment, impediment, or interference with, in any way, the sole ability, discretion, opportunity, and right of The Ikoku Corporation and the sole Founder, Owner and Manager, Alvan Azinna Chibuzo Ikoku, to determine compliance with the Codes and Policies and to have their decision be final and binding and not subject to challenge or appeal.
vi. Your Accordance with Ethics
that any of your activity subject to the Organizational Integrity Policy shall further remain in accordance with the Founding and Governing Code of Ethics.
vii. Your Accordance with Integrity
that any of your activity subject to the Organizational Integrity Policy shall further remain in accordance with the Policy on Organizational Integrity.
viii. Your Accordance with Mission
that any of your activity subject to the Organizational Integrity Policy shall further remain in accordance with the founding mission and purposes of The Ikoku Corporation, without incompatibility, as described and delineated in the Codes and Policies and the Founder’s Operating Agreement.
ix. Your Knowledge
that you are aware that The Ikoku Corporation strongly recommends you develop and maintain your knowledge of all the Codes and Policies, and so asks that you read, understand, and regularly visit this section and other communications regarding the Organizational Integrity Policy, as well as the Codes and Policies; that you agree that updating this section constitutes legally sufficient notice; and that you therefore acknowledge that The Ikoku Corporation takes your continued engagement in any activity involving, referring, relating, or otherwise pertaining to The Ikoku Corporation as active indication of your current and updated knowledge, understanding, and legally binding acceptance of and agreement to the Organizational Integrity Policy as well as the Codes and Policies, as they are amended from time to time.

II — Your Integrity Understandings

— second, with respect to the Organizational Integrity Policy, you understand and adhere to the following:

i. Your Understanding of Organizational Integrity
that you have read, understood, consented to, and agreed to be legally bound by and abide by understandings of organizational integrityĀ as they are defined and provided for in applicable law and regulation, and by The Ikoku Corporation in the Codes and Polices, including as delineated in this Policy.
ii. Your Understanding of Organizational Integrity Principles
that you have read, understood, consented to, and agreed to be legally bound by and abide by understandings of organizational integrityĀ as they are defined and provided for in applicable law and regulation, and by The Ikoku Corporation in the Codes and Polices, including as delineated in this Policy, to be fulfilled and respected and not infringed or violated, in any way, by you.
iii. Your Understanding of Organizational Integrity Rights
that you have read, understood, consented to, and agreed to be legally bound by and abide by understandings of organizational integrityĀ as they are defined and provided for in applicable law and regulation, and by The Ikoku Corporation in the Codes and Polices, including as delineated in this Policy, to be fulfilled and respected and not infringed or violated, in any way, by you.
iv. Your Understanding of Organizational Integrity Protections
that you have read, understood, consented to, and agreed to be legally bound by and abide by understandings of organizational integrityĀ as they are defined and provided for in applicable law and regulation, and by The Ikoku Corporation in the Codes and Polices, including as delineated in this Policy, to be fulfilled and respected and not breached or violated, in any way, by you.

III — Your Integrity Commitments

— third, given the aforementioned, your commitment to this understanding of organizational integrityĀ of its principles, of its rights, and of its protections shall entail the following:

i. Basis for Your Activities
its basis for any activity you engage in with respect to The Ikoku Corporation — including the divisions, series, subsidiaries, and affiliates, as well as the Products and Services — and that any such activities you engage in shall be free of any incompatibility with, inconsistency with, or violation of the Organizational Integrity Policy or any applicable law or regulation.
ii. Commitment to Organizational Integrity
that this commitment include but not be limited to upholding for every person at The Ikoku Corporation the most humane, protective, respectful, robust and strictest interpretations of organizational integrity, including as such organizational integrityĀ isĀ provided for in the Organizational Integrity Policy, in the Codes and Policies, and in applicable law and regulation.
iii. Commitment to Organizational Integrity Principles, Rights and Protections
that this commitment include but not be limited to upholding for every person at The Ikoku Corporation the most humane, protective, respectful, robust and strictest interpretations of organizational integrityĀ principles, rights, and protections, including as such principles, rights, and protections are provided for in the Organizational Integrity Policy, in the Codes and Policies, and in applicable law and regulation.
iv. Commitment to Respectful and Protective Practices
that you respectfully assist solely via Your Duty as described in the Organizational Integrity Policy and in no way interfere with or impede the reasonable efforts taken by The Ikoku Corporation to translate the above commitments into practices for developing and maintaining protections pertaining to organizational integrity; for determining compliance with those protections; and for fulfilling, respecting, and safeguarding persons, properties, and interests relating to organizational integrityĀ of its principles, of its rights, and of its protections, including but not limited to those delineated in the Organizational Integrity Policy and the Codes and Policies.
v. Commitment to Protections Following and Ahead of the Law
that you also respectfully assist solely via Your Duty as described in the Organizational Integrity Policy and in no way interfere with or impede the reasonable efforts taken by The Ikoku Corporation to obtain, keep current and comply with required organizational integrityĀ law and regulation, as they pertain to applicable local, state, national and international jurisdictions, including to adopt a coupled approach to legal and substantive protections for organizational integrityĀ derived, in part, from the provision of rights and protections via advances in law and regulation, but also often beyond what the law provides for and protects.

Further Agreement

— and furthermore, by engaging in any activity involving, referring to, relating to, or otherwise pertaining to The Ikoku Corporation, any activities, affairs, areas, assets, offices, parts, properties, sections, or equivalent of The Ikoku Corporation, any activities, affairs, areas, assets, offices, parts, properties, sections, or equivalent of the divisions, series, subsidiaries, or affiliates, as well as any activities, affairs, areas, assets, offices, parts, properties, sections, or equivalent of the Products or Services, you accept and agree to the conditions, principles, protections, requirements, standards, statements, and terms described in this section and in the Codes and Policies, regarding the Acceptable Use Policy of The Ikoku Corporation,Ā in their entirety without modification, including as amended and updated from time to time by The Ikoku Corporation, and you further accept and agree to fully inform The Ikoku Corporation in writing of any knowledge you have regarding any activity subject to this Policy.

Provision

Along with the above principles, the Policy on Organizational Integrity requires your adherence to correlative principles delineated below.

A — Conditions for Integrity

Generally

— that The Ikoku Corporation require and ensure that each and every natural and legal person engaging in activity involving, referring to, relating to, or otherwise pertaining to The Ikoku Corporation legally agrees to and is legally committed to fostering and not breaching, diminishing, impeding, interfering with, or otherwise violating, in any way, any conditions for attaining, maintaining, planning for, securing, or otherwise engaging in activities for organizational integrity, including but not limited to the following conditions:

as to Access

— that The Ikoku Corporation require and ensure that the conditions for its organizational integrity as it concerns access and the rights attendant to such integrity of access — including that providing for, securing, and otherwise pertaining to access by, of and to The Ikoku Corporation as executively authorized exclusively and only by the sole Founder, Alvan Azinna Chibuzo Ikoku — be actively attained, maintained, protected, and secured, be fully enjoyed and fulfilled, and be neither diminished, interfered with, nor violated.

as to Acquisition and Finance

— that The Ikoku Corporation require and ensure that the conditions for its organizational integrity as it concerns acquisition and finance and the rights attendant to such integrity of acquisition and finance — including that providing for, securing, and otherwise pertaining to acquisition and finance by, of and for The Ikoku Corporation as executively, exclusively and specifically approved only via express written instrument signed and sealed of the sole Founder, Alvan Azinna Chibuzo Ikoku — be actively attained, maintained, protected, and secured, be fully enjoyed and fulfilled, and be neither diminished, interfered with, nor violated.

as to Activities

— that The Ikoku Corporation require and ensure that the conditions for its organizational integrity as it concerns activities and the rights attendant to such integrity of activities — including that providing for, securing, and otherwise pertaining to activities by, of and for The Ikoku Corporation as executively authorized exclusively and only by the sole Founder, Alvan Azinna Chibuzo Ikoku — be actively attained, maintained, protected, and secured, be fully enjoyed and fulfilled, and be neither diminished, interfered with, nor violated.

as to Administration Areas

— that The Ikoku Corporation require and ensure that the term ā€œThe Ikoku CorporationĀ Administrationā€ mean and include, but not be limited to, the following:

The Ikoku Corporation
The Alvan Ikoku Corporation, a division of The Alvan Ikoku Group LLC, as an organizational entity also officially doing business as The Ikoku Corporation and The Alvan Azinna Chibuzo Ikoku Corporation.
Divisions and Affiliates
the series, divisions, subsidiaries, affiliates and other entities of The Ikoku Corporation.
Products and Services
the Products and Services of The Ikoku Corporation.
Administrative, Managerial and Operations Spaces
the administrative, managerial, operations and other executive and technical areas, offices, parts, sections, spaces, and equivalent of The Ikoku Corporation.
Administrative, Managerial and Operations Activities
the administrative, managerial, operations and other executive and technical activities and documented decisions of The Ikoku Corporation, the sole Founder, Alvan Azinna Chibuzo Ikoku, as well as other appointed, contracted, employed or otherwise engaged directors, executives, leadership, managers, officers, and other agents and workers engaged in such activities and decisions.
Official Work Spaces
the work areas, offices, parts, sections, spaces, and equivalent of official persons of The Ikoku Corporation.
Official Work Activities
the work activities and documented decisions of official persons of The Ikoku Corporation.
Computers, Devices and Technologies
the computers, devices, equipment, servers, software, storage, technologies, and equivalent of The Ikoku Corporation.
Assets and Properties
the assets and properties accrued, acquired, contained, developed, operationalized, stored or otherwise deployed, processed or utilized in relation to all of the aforementioned.
As Determined by Founder
all of the aforementioned as acquired, donated, financed, purchased, received or otherwise operationalized or transacted by means of The Ikoku Corporation and approved, authorized and documented as such solely by the sole Founder, Alvan Azinna Chibuzo Ikoku.
As Sole Powers by Founder
with the sole Founder, Alvan Azinna Chibuzo Ikoku, as the sole person with powers of authorization, designation, financing, and other executive management required to access, acquire, authorize, control, designate, determine, manage, and provide access to or delegate control over any and all of the aforementioned.
As Confidential, Private, Protected
that The Ikoku Corporation require and ensure that the above-defined The Ikoku Corporation Administration be organizationally confidential and private; be protected as such in order to fully enjoy rights to confidentiality, privacy, protection, safety, security and property; and so not be administered, managed, operated or otherwise construed as personal, public or open to the public.
As Separated from Personal
that The Ikoku Corporation require and ensure that the above-defined The Ikoku Corporation Administration be organizationally distinct and separated from personal activities, affairs, areas, assets, offices, parts, properties, sections, and personal computers, devices, equipment, servers, storage, technologies, and equivalent, with highly restricted points of access or other activity between the two as explicitly and specifically authorized only by express written instrument signed and sealed of the Founder, Alvan Azinna Chibuzo Ikoku.
As Separated from Public
that The Ikoku Corporation require and ensure that the above-defined The Ikoku Corporation Administration be organizationally distinct and separated from public activities, affairs, areas, assets, offices, parts, properties, sections, and public computers, devices, equipment, servers, storage, technologies, and equivalent, with highly restricted points of access or other activity between the two as explicitly and specifically authorized only by express written instrument signed and sealed of the Founder, Alvan Azinna Chibuzo Ikoku.
As Subject to Sensitivity
that The Ikoku Corporation require and ensure that the above determination, distinction, and protection render any access or other processing of biospecimens, data, or information involving, referring to, relating to, or otherwise pertaining to The Ikoku Corporation Administration subject to the Principles of Sensitivity under the Policy on Data and Information.
As Non-Extension
that The Ikoku Corporation require and ensure that nothing that is personal or public be administered, managed, operated or otherwise construed as extensions of The Ikoku Corporation or The Ikoku Corporation Administration, and furthermore, that any official activities and documented decisions of The Ikoku Corporation Administration are conducted at, by, via or within The Ikoku Corporation Administration, and whenever such work is conducted via personal or public devices, spaces, or equivalent such devices, spaces, or equivalent shall not be administered, managed, operated or otherwise construed as extensions of The Ikoku Corporation or The Ikoku Corporation Administration.
As Preclusion
that The Ikoku Corporation require and ensure that all of the above preclude permitting any natural or legal person to agree, assent or consent to engaging in or to conduct official work of The Ikoku Corporation Administration on or via that which is or construed or understood to be public or personal.

as to Authorization

— that the conditions for organizational integrity with respect to authorization include but not be limited to:

Generally
that The Ikoku Corporation require and ensure the conditions for its organizational integrity as it concerns authorization and the rights attendant to such integrity of authorization — including that providing for, securing, and otherwise pertaining to authorization by, of and to any The Ikoku Corporation activity as executively, exclusively and specifically approved only via express written instrument signed and sealed of the sole Founder, Alvan Azinna Chibuzo Ikoku — be actively attained, maintained, protected, and secured, be fully enjoyed and fulfilled, and be neither diminished, interfered with, nor violated.
Sole Authorization and Approval
that the above conditions furthermore entail a legally binding acceptance by official persons of The Ikoku Corporation of the sole executive authority of the sole Founder, Alvan Azinna Chibuzo Ikoku, to approve and authorize activities, assets and properties, agreements, contracts, understandings, and equivalent instruments, codes and policies and other formation and governance documents, offices and equivalent work areas and equipment,Ā official persons and equivalent agents and arrangements,Ā and other matters and properties relating to the administration, compliance, control, development, governance, management, operations, oversight, personnel, and other executive responsibilities of The Ikoku Corporation.

as to Compliance

— that the conditions for organizational integrity with respect to compliance include but not be limited to:

Generally
that The Ikoku Corporation require and ensure the conditions for its organizational integrity as it concerns compliance and the rights attendant to such integrity of compliance — including that providing for, securing, and otherwise pertaining to compliance of The Ikoku Corporation and its persons as executively, exclusively and specifically determined only via express written instrument signed and sealed of the sole Founder, Alvan Azinna Chibuzo Ikoku — be actively attained, maintained, protected, and secured, be fully enjoyed and fulfilled, and be neither diminished, interfered with, nor violated.
Sole Determination of Compliance and Remedy
that the above conditions furthermore entail a legally binding acceptance by official persons of The Ikoku Corporation that The Ikoku Corporation and the sole Founder, Alvan Azinna Chibuzo Ikoku, reserve the right to, and the Founder has sole executive authority to, at their sole discretion, determine adequate assessment, compliance, prioritization, protection, remedy, rights, and equivalent with respect to the Organizational Integrity Policy and in relation to other Codes and Policies, including to determine approved ways persons may foster organizational integrity, primarily restricted to non-violation and immediate reporting of noncompliance to the Founder, and upon the Founder’s request provision of evidentiary proof in appropriately approved investigative, legal and remedying proceedings.

as to Control

— that The Ikoku Corporation require and ensure the conditions for its organizational integrity as it concerns control and the rights attendant to such integrity of control — including that providing for, securing, and otherwise pertaining to administrative, managerial and other executive control of The Ikoku Corporation as executively, exclusively and specifically determined only via express written instrument signed and sealed of the sole Founder, Alvan Azinna Chibuzo Ikoku — be actively attained, maintained, protected, and secured, be fully enjoyed and fulfilled, and be neither diminished, interfered with, nor violated.

as to Entity

— that The Ikoku Corporation require and ensure the conditions for its organizational integrity as it concerns entity form and function and the rights attendant to such integrity of entity — including that providing for, securing, and otherwise pertaining to entity nature, status as well as mission and purposes of The Ikoku Corporation as executively, exclusively and specifically determined only via express written instrument signed and sealed of the sole Founder, Alvan Azinna Chibuzo Ikoku — be actively attained, maintained, protected, and secured, be fully enjoyed and fulfilled, and be neither diminished, interfered with, nor violated.

as to Non-Conferral

— that the conditions for organizational integrity with respect to non-conferral include but not be limited to:

Generally
that The Ikoku Corporation require and ensure the conditions for its organizational integrity as it concerns conferral and non-conferral of rights and the rights attendant to such integrity of conferral — including that providing for, securing, and otherwise pertaining to freedoms, liberties, rights, and equivalent claims with respect to The Ikoku Corporation as executively, exclusively and specifically determined only via express written instrument signed and sealed of the sole Founder, Alvan Azinna Chibuzo Ikoku — be actively attained, maintained, protected, and secured, be fully enjoyed and fulfilled, and be neither diminished, interfered with, nor violated.
Sole Conferral
that the above conditions also entail a legally binding acceptance by official persons of The Ikoku Corporation that no application, clause, interpretation, meaning, provision, term, word, or other part or reading of the Codes and Policies or equivalent official documents or statements, as well as no acknowledgement, accordance, claim, exercise, respect, support, or equivalent of any freedoms, liberties, rights, or equivalent shall confer — or be construed or interpreted as conferring — any right of access to, acquisition of, control of, decision-making over, interests of, shares of, stocks of, votes over, or other form of ownership or control involving, referring to, relating to, or otherwise pertaining to any activities, affairs, areas, assets, offices, parts, properties, sections, or equivalent of The Ikoku Corporation, of The Ikoku Corporation Administration, of the divisions, series, subsidiaries, and affiliates, of the Products and Services, or equivalent, to any natural or legal person other than the sole Founder, Alvan Azinna Chibuzo Ikoku.

B — Points, Processes

Generally

— that The Ikoku Corporation require and ensure that each and every natural and legal person engaging in activity involving, referring to, relating to, or otherwise pertaining to The Ikoku Corporation legally agrees to and is legally committed to fostering and not breaching, diminishing, impeding, interfering with, or otherwise violating, in any way, any processes for attaining, maintaining, planning for, securing, or otherwise conducting organizational integrity, including but not limited to processes as conducted via the following points of organizational integrity:

as Defined

— for the organizational integrity of The Ikoku Corporation, as fully defined in the Codes and Polices, including but not limited to the founding, formation, mission, and purposes of The Ikoku Corporation as delineated in formation and governance documents, as well as the activities, affairs, areas, assets, offices, parts, properties, sections, or equivalent of The Ikoku Corporation, of The Ikoku Corporation Administration, of the divisions, series, subsidiaries, and affiliates, and of the Products and Services.

as to Formation

— for the organizational integrity of The Ikoku Corporation, as fully defined in the Codes and Polices, as itself a single organizational entity — legally recognized as officially and doing business as The Ikoku Corporation — to be determined and formed only by express written instrument signed and sealed of the Founder, Alvan Azinna Chibuzo Ikoku, with no other legal, legally binding, or otherwise legally recognizable alternatives, copies, doubles, duplicates, echoes, hidden parts or ports, shadows or other versions of the aforementioned that are not specifically authorized and supervised by the Founder.

as to Ownership

— for the organizational integrity of The Ikoku Corporation, as fully defined in the Codes and Polices, as itself under the sole ownership and being the sole property of exclusively and only the sole Founder, Alvan Azinna Chibuzo Ikoku, with no other legal, legally binding, or otherwise legally recognizable asset-, interests-, property-, share-, stake-, stock- or other holding or ownership of The Ikoku Corporation.

as to Governance

— for the organizational integrity of The Ikoku Corporation, as fully defined in the Codes and Polices, as itself under the sole executive governance, policy compliance, and oversight of exclusively and only the sole Founder, Alvan Azinna Chibuzo Ikoku, with no other legal, legally binding, or otherwise legally recognizable executive governance, policy compliance, oversight, or equivalent of The Ikoku Corporation.

as to Management

— for the organizational integrity of The Ikoku Corporation, as fully defined in the Codes and Polices, as itself under the sole executive administration, control, and management of exclusively and only the sole Founder, Alvan Azinna Chibuzo Ikoku, with no other legal, legally binding, or otherwise legally recognizable executive administration, control, decision-making, management, or equivalent of The Ikoku Corporation.

as to Operation

— for the organizational integrity of The Ikoku Corporation, as fully defined in the Codes and Polices, as itself under the sole executive development, evaluation, operation, provision, and review of exclusively and only the sole Founder, Alvan Azinna Chibuzo Ikoku, with no other legal, legally binding, or otherwise legally recognizable executive development, evaluation, operation, provision, review, or equivalent of The Ikoku Corporation.

as to Persons

— for the organizational integrity of The Ikoku Corporation, as fully defined in the Codes and Polices, as itself having official persons of The Ikoku Corporation, both legal and natural, who become and remain so only by express written instrument signed and sealed of the Founder, Alvan Azinna Chibuzo Ikoku, with no other legal, legally binding, or otherwise legally recognizable official persons or their equivalent involving, referring to, relating to, or otherwise pertaining to The Ikoku Corporation.

as to Properties

— for the organizational integrity of The Ikoku Corporation, as fully defined in the Codes and Polices, as itself being assets as well as real, intellectual and other properties of The Ikoku Corporation exclusively and solely owned by the sole Founder, Alvan Azinna Chibuzo Ikoku, with no other legal, legally binding, or otherwise legally recognizable acquisition, attribution, claim, or equivalent involving, referring to, relating to, or otherwise pertaining to such or associated assets, properties, proprietary rights, or equivalent of The Ikoku Corporation.

as to Protections

— for the organizational integrity of The Ikoku Corporation, as fully defined in the Codes and Polices, as itself under the sole executive protection, risk, safety and security activities and measures — particularly those pertaining to confidentiality, privacy, property, and, rights — of exclusively and only the sole Founder, Alvan Azinna Chibuzo Ikoku, with no other legal, legally binding, or otherwise legally recognizable executive protection, risk, safety and security activities and measures, or equivalent of The Ikoku Corporation.

as to Rights

— for the organizational integrity of The Ikoku Corporation, as fully defined in the Codes and Polices, as itself an entity employing protection, risk, safety and security activities and measures to attain, maintain, and safeguard freedoms, liberties, and rights of The Ikoku Corporation, of the Founder, Alvan Azinna Chibuzo Ikoku, and of those persons legally contracted, employed, or otherwise engaged only via express written instrument signed and sealed of the Founder, Alvan Azinna Chibuzo Ikoku, with no other legal, legally binding, or otherwise legally recognizable accordance, acquisition, attribution, or other claim involving, referring to, relating to, or otherwise pertaining to such or associated freedoms, liberties, rights, or equivalent, except where applicable law or regulation mandates.

as to Separations

— for the organizational integrity of The Ikoku Corporation, as fully defined in the Codes and Polices, as itself an entity employing protection, risk, safety and security activities and measures to attain, maintain, and safeguard the distinction and separation of the activities, affairs, areas, assets, offices, parts, properties, sections, or equivalent of The Ikoku Corporation — particularly that which constitutes The Ikoku Corporation Administration and ensures indemnification and limited liability for The Ikoku Corporation and its official persons — from that which is demarcated, operated or otherwise understood as public and personal.

as Determined by Founder

— all of the aforementioned as the sole Founder of The Ikoku Grantor Charitable Trusts, Alvan Azinna Chibuzo Ikoku, deems and determines appropriate and solely controls.

C — Persons and Contracts

— that The Ikoku Corporation require and ensure that each and every official person of The Ikoku Corporation be executively, exclusively and specifically authorized, approved and managed only via express written instrument signed and sealed of the sole Founder, Alvan Azinna Chibuzo Ikoku.

Official Persons Contracts

— that The Ikoku Corporation require and ensure that each and every official person of The Ikoku Corporation have and sign a written contract, that such contract clearly convey the specific activities, capacities, duties, nature, roles, and responsibilities as well as terms and conditions of appointment, arrangement, employment, engagement, relationship, work, and equivalent in a language understood by each signatory, and that the described appointment, arrangement, employment, engagement, relationship, work, and equivalent commence only after said contract is signed and consented to by each said signatory.

Other Persons Contracts

— that The Ikoku Corporation require and ensure that each and every paid and unpaid official person providing continuous or occasional services to The Ikoku Corporation — including but not limited to care, consulting, education, research, technology, training, writing, or other equivalent services — also have and sign a written contract and that such contract clearly convey the specific activities, capacities, duties, nature, roles, and responsibilities as well as terms and conditions of arrangement, employment, engagement, relationship, services, work, and equivalent in a language understood by each signatory, and that the arrangement, employment, engagement, relationship, services, work, and equivalent commence only after said contract is signed and consented to by each said signatory.

Confidentiality and Privacy Agreement

— that, to further protect its organizational integrity of The Ikoku Corporation require and ensure that each and every person under the above-described contract or equivalent legal instrument also sign a written and notarized confidentiality and privacy agreement (the ā€œConfidentiality and Privacy Agreementā€) meeting all of the following specifications:

Attestation to Codes and Policies
that the Confidentiality and Privacy Agreement require the signatory to attest to having read, understood, and agreed to abide by the Codes and Policies and applicable law and regulation.
Attestation to Policy on Privacy and Confidentiality
that the Confidentiality and Privacy Agreement require the signatory to attest to having read, understood, and agreed to abide by the Policy on Privacy and Confidentiality and all other confidentiality and privacy protections described in the Codes and Policies and applicable law and regulation.
Prohibitions Against Violating Activity
that the Confidentiality and Privacy Agreement prohibit all paid and unpaid signatories from engaging in any activity or assisting any natural or legal person that results in an intentional violation of any provisions in the Codes and Policies and applicable law and regulation involving, protecting, providing for, referring to, relating to, or otherwise pertaining to confidentiality and privacy — including but not limited to any such activity as an ā€œactivist,ā€ ā€œadvocate,ā€ ā€œhacker,ā€ ā€œinfiltrator,ā€ ā€œprotester,ā€ ā€œransomer,ā€ ā€œspy,ā€ ā€œtester,ā€ ā€œvigilante,ā€ or equivalent — in the past, present, or future.
Damages and Liabilities
that the Confidentiality and Privacy Agreement specify that damages of not less than $10 Million be assessed against any person who is determined to have engaged in any activity or assisting any natural or legal person that results in an intentional violation of any provisions in the Codes and Policies and applicable law and regulation involving, protecting, providing for, referring to, relating to, or otherwise pertaining to confidentiality and privacy — including but not limited to any such activity as ā€œactivist,ā€ ā€œadvocate,ā€ ā€œhacker,ā€ ā€œinfiltrator,ā€ ā€œprotester,ā€ ā€œransomer,ā€ ā€œspy,ā€ ā€œtester,ā€ ā€œvigilante,ā€ or equivalent — in the past, present, or future, and that the damages be assessed against the person or their immediate family, as well as their heirs and assigns, and that the signatory acknowledges this liability.
Clarity and Signature Before Notary and Witness
that the Confidentiality and Privacy Agreement be written and in plain language and it be mandatory for all required signatories to sign it in front of a notary and witnesses before the engagement, continuation, or performance of any agreement or contract.
Actions upon Refusal or Demurment
that upon refusal to sign the Confidentiality and Privacy Agreement, or undue delay or other demurment, any other agreement, contract, or equivalent legal instrument be terminated; a forensics investigation be conducted with respect to possible breaches or violations of the Codes and Policies, applicable law and regulation, as well as confidentiality, privacy and security protections; and any of the refusing signatory’s work areas and possessions associated or in communication with The Ikoku Grantor Charitable Trusts be searched by privacy, security and technology staff for malware, spyware, wiretaps, and their equivalent, as well as for stolen documents, properties, trade secrets, and their equivalent.
Actions upon Discovery of Violation
and that if the above violations or their equivalent are found, the police be called and the person be arrested for trespassing, presenting a false identity, the placing of illegal malware, spyware, wiretap or equivalent equipment, violation of confidentiality and privacy, violation of applicable law or regulation, and theft by burglary of private documents, property, trade secrets, or equivalent.

Organizational Integrity Agreement

— that, to further protect its organizational integrity of The Ikoku Corporation require and ensure that each and every person under the above-described contract or equivalent legal instrument also sign a written and Organizational Integrity agreement (the ā€œOrganizational Integrity Agreementā€) meeting all of the following specifications:

Attestation to Codes and Policies
that the Organizational Integrity Agreement require the signatory to attest to having read, understood, and agreed to abide by the Codes and Policies and applicable law and regulation.
Attestation to Policy on Organizational Integrity
that the Organizational Integrity Agreement require the signatory to attest to having read, understood, and agreed to abide by the Policy on Organizational Integrity and all other organizational integrity properties, right, and their protections described in the Codes and Policies and applicable law and regulation.
